Terms of Service
§1. General
Our delivery and payment conditions apply to all deliveries. We cannot expressly recognize deviating regulations of the customer, even if we do not expressly contradict them. The goods are only available in the specified versions. We reserve the right to make technical changes in the sense of technical progress, as well as changes in shape and color. Custom-made products are possible by arrangement. Events of force majeure entitle us to extend the delivery time by the duration of the hindrance or to withdraw from the contract in whole or in part without being obliged to pay compensation. This also applies to unforeseen other circumstances that prevent, delay or complicate the manufacture or dispatch of the goods, in particular in the event of late or incorrect self-delivery as well as energy or raw material shortages. In the event of a partial or total failure of our sources of supply, we are not obliged to purchase from other sub-suppliers.
§2 terms of payment
All prices apply ex works plus shipping and packaging costs at cost price. Our invoices are payable after receipt of the invoice (if no other written agreements have been made). If the decisive cost factors change significantly after the offer has been submitted until delivery, the supplier and the customer will agree to adjust the prices. The supplier is not bound to previous prices for follow-up orders.
§3 delivery conditions
We reserve the right to make partial deliveries if this appears advantageous for a speedy processing.
In the case of custom-made products and special embossing, a production-related deviation in the delivery quantity of up to 10% up or down must be recognized. The costs for development work and sample production for special products will be invoiced. If an order is placed, these costs will be credited proportionally to the order value.
The customer is only entitled to withdraw from the contract due to non-compliance with the delivery deadline if he has given us a reasonable grace period of at least 4 weeks in writing.
§4 data storage
The personal data of the customer are stored in our IT and used for internal purposes.
§5 shipping
Unless otherwise agreed, shipping is always at the expense and risk of the customer. The risk is transferred to the purchaser when the goods are handed over to the carrier (post, rail, freight forwarder, etc.). At the written request of the customer, the goods will be insured against storage, transport and fire damage at his own expense.
§6 liability for material defects
The buyer must inspect the goods and their packaging immediately upon delivery for type, quantity and condition and check that they match the order. Defects or discrepancies found here must be reported to the supplier within 5 working days.
In the case of hidden material and manufacturing defects, we will repair or replace free of charge within 24 months of the date of sale. Exceptions are damage caused by external influences during use (storage, transport and use) and transport damage. (§ 5).
§7 retention of title
The delivered goods remain our property until they have been paid for in full. The customer is only permitted to resell the goods subject to retention of title in the ordinary course of business on condition that he also agrees on retention of title with his customers. The purchaser is not entitled to dispose of the goods subject to retention of title in any other way, in particular pledging and security transfer.
At the request of the supplier, the customer is obliged to provide the supplier with all information and documents that are necessary to assert the rights of the supplier against the customer of the customer. The supplier must be notified immediately of any seizure or confiscation of the reserved goods by third parties.
§8 credit, return or exchange
Returns for credit may only be made after prior consultation with us. The date of purchase, our invoice number and the reason for the return must be stated on the return delivery letter. Custom-made items, items changed at the request of the customer, and colored and plastic-coated cushions are excluded from return and exchange. All shipments to be returned, exchanged or repaired are to be delivered to us free of charge. A processing fee of 10% is charged for all credits.
Repairs are carried out on request and are calculated according to the time and material used.
§9 tools
Tools for custom-made products are charged proportionally and remain with the supplier. He guarantees that these are carefully looked after and stored. The retention period expires if no further orders are received within 2 years of the last delivery. The tools then become the property of the supplier.
§10 material
If the supplier has ordered raw material on the basis of an order, these costs will also be charged to the purchaser if the order is canceled for any reason. The material is then the property of the customer.
§11 deliveries abroad
Deliveries abroad are subject to the same conditions.
§12 recognition
By placing an order, the customer recognizes these delivery and payment conditions as the only applicable one. In the case of later orders, our reference to these conditions is sufficient to make them solely authoritative for the later order.
§13 Place of fulfillment and place of jurisdiction
The place of performance and place of jurisdiction for both parties is Buxtehude, also in the case of checks and bill of exchange actions.
